Fribas Holding GmbH i. G. is the licensor for every licence of the Software and the sole contracting party of this agreement. Other company names appear in the product — the reseller that sells and supports it, and the certificate the setup program is signed with. Sections 12 and 13 say what those names mean; none of them is the licensor.
The German "Allgemeine Geschäftsbedingungen" (terms and conditions) that govern purchase, term, payment and support are a separate document; the application shows them alongside this agreement on first start. Where the two overlap, the terms and conditions prevail for the commercial questions and this agreement prevails for the scope of use and the intellectual property.
1. Definitions
"Software" means DoEStat, including its binaries, source code, documentation, design assets, sample projects and data files, in the version made available to the licensee.
"Licensee" means the natural or legal person that acquired the licence.
"Named user" means the one natural person named in a licence file. A named user licence is tied to a person, not to a workstation seat that several people share.
2. Proprietary Software
The Software is proprietary software owned by Fribas Holding GmbH i. G. It is protected by copyright law and international treaties. No rights are granted other than those expressly stated in this agreement, in the terms and conditions, or in a separate written agreement signed by Fribas Holding GmbH i. G.
3. No Open-Source Licence
The Software is not open source and not free software. Publication of the source code in a repository, whether public or private, does not grant any licence to use, copy, modify or distribute it.
4. Grant of Use
A valid licence grants the licensee a non-exclusive, non-transferable right to install and use the Software for the licence's term:
- (a) Viewer mode: free of charge and unlimited in time, restricted to opening and viewing existing projects and exporting reports. Reports exported in viewer mode carry a watermark; removing it is a breach of section 5.
- (b) Trial: full functionality for the trial period stated in the Software (currently 30 days), once per machine, for evaluation purposes.
- (c) Named user: full functionality for the individual named in the licence file, on the machines covered by that licence, for its term and in the edition it names.
The licensee may make backup copies to the extent necessary to secure future use.
Any other use — in particular use by more people than the licences held, provision to third parties, or operation as a service for third parties — requires a separate written agreement.
5. Restrictions
Except where permitted by mandatory statutory law, the licensee may not: redistribute, sublicense, rent, lease, lend, sell or publish the Software or parts of it; reverse engineer, decompile or disassemble it; circumvent or tamper with its licensing, audit-trail, watermark or integrity mechanisms; or remove or alter copyright or licence notices.
6. Third-Party Components
The Software includes third-party components licensed under their own terms. Those components and their licences are listed in NOTICE.md, and those terms prevail over this agreement for the components they cover.
7. Validation and Results
The Software supports the statistical planning and analysis of experiments. The licensee remains responsible for the choice of method, for the interpretation of results, and — in regulated environments — for the validation of the Software in the licensee's own context. The artifacts provided for that purpose (IQ report, OQ self-test, docs/traceability-matrix.md, CHANGELOG.md) support that validation; they do not replace it.
8. Warranty and Liability
The Software is provided with the quality described in the documentation valid at the time of delivery. It is not warranted to be free of defects or uninterrupted; software of this complexity cannot be.
Fribas Holding GmbH i. G. is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent a guarantee was given. For slight negligence Fribas Holding GmbH i. G. is liable only for the breach of an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the licensee may regularly rely, and in that case only for the foreseeable damage typical of this kind of contract. Any further liability is excluded.
The licensee is responsible for backing up its data at appropriate intervals. Where liability for data loss exists, it is limited to the effort of restoring the data from properly kept backups.
9. Statutory Rights Reserved
Mandatory statutory rights of the licensee — in particular under §§ 69d and 69e UrhG (German Copyright Act) on backup copies, error correction and decompilation for interoperability — remain unaffected and are not limited by section 5.
10. Term and Termination
The term of a licence follows the terms and conditions and the licence file. Fribas Holding GmbH i. G. may terminate this agreement for cause if the licensee materially breaches sections 4 or 5 and does not remedy the breach within a reasonable period set in writing. On termination the licensee must stop using the Software and delete the installed copies; projects and exported reports the licensee created remain the licensee's own.
11. Data in the Software
The Software runs locally. Project data, measurements and reports stay on the licensee's machines; Fribas Holding GmbH i. G. has no access to them. Where the Software contacts a server — the update check against the publisher's download server, crash reports after the user's express consent, and licence activation if an online licence provider is configured — this is described in the terms and conditions and in the privacy statement.
12. Distribution and Resellers
STATCON GmbH, Kassel, Germany, acts as an authorised reseller of the Software. Orders, invoices, licence files and first-level support may be handled by STATCON GmbH on the licensor's behalf. This does not make STATCON GmbH a party to this agreement.
13. Code Signing and Names Displayed by Windows
The Windows installer and the program files are digitally signed. The signature may be issued to the licensor or to a partner it has authorised to distribute the Software, and Windows displays the name from whichever certificate was used as the publisher of the setup program. The name shown there identifies who vouches for the integrity of the files, not who the contracting party is.
For the same reason of history rather than substance, the Windows registry key of the installation is Software\STATCON\DoEStat: it is the address of the installations already in the field and is kept so that updates find them. Neither the displayed publisher nor that key changes the fact that the licensor and contracting party is Fribas Holding GmbH i. G.
14. Governing Law and Jurisdiction
This agreement is governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If the licensee is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is the registered seat of Fribas Holding GmbH i. G., Kassel.
